AI Native

Terms of service

1. The agreement

These Terms govern the AI Native organizational work platform provided by 1E6 Labs L.L.C-FZ, a company incorporated in Meydan Free Zone, Dubai, United Arab Emirates, at 6th Floor, Meydan Grandstand, Meydan Road, Dubai, United Arab Emirates (“Provider”, “we”, “us”). “Customer” means the organization that enters into the agreement. “Users” are the people the Customer authorizes to use its AI Native organization. The service is supplied for business use, not personal consumer use.

The agreement takes effect when the Customer expressly accepts these Terms through a recorded acceptance process or a signed order form. The person accepting must have authority to bind the Customer. Merely viewing this draft or following a policy link is not acceptance. Users must comply with the obligations applicable to them, and the Customer is responsible for its authorized use. “Commercial Terms” means the customer-specific plan, offer, checkout terms or order form expressly accepted by the Customer.

The applicable Commercial Terms, where separately agreed, Data Processing Agreement and these Terms together govern the service. In a conflict, the Commercial Terms control prices, allowances and deployment-specific provisions, and the data-processing agreement controls its subject matter. A change to another provision of these Terms must expressly identify that provision in an agreement accepted by both parties; an offer does not silently override processing or confidentiality obligations. Mandatory law takes priority. The accepted versions of these Terms and the Commercial Terms must be identifiable in the acceptance record.

2. The service and deployment

AI Native helps organizations maintain work records and use assistants to answer questions, coordinate work, generate drafts and carry out permitted actions. Access is limited to the features, connections, usage allowances and deployment agreed with the Customer. Public demonstrations and roadmap descriptions are not commitments that every capability is available.

The shared tier uses common application infrastructure with organization-level access separation, including database-enforced separation. It does not provide a separate Azure tenant or dedicated infrastructure for each Customer. Its AI processing can occur outside the application’s hosting country. Dedicated, customer-hosted or residency-specific arrangements require an express agreement; they are not included by choosing the shared tier.

We may maintain and improve the service, correct defects and change underlying models or providers within the agreed service and data-processing conditions. We will give reasonable notice of a material reduction of an agreed paid capability, except when urgent security, legal or provider circumstances require earlier action. No service-level commitment applies unless agreed in writing.

3. Accounts and organization administration

Users must be at least 18 years old, provide accurate information, use their own authorized identity and protect their authentication credentials and sessions. The service is for business and professional use. Users must meet the Customer’s workplace requirements. Shared credentials, impersonation and access to another organization without authorization are prohibited.

New organizations in the initial alpha require explicit admission by us. Existing organization invitations remain controlled by that organization’s administrators. The Customer designates administrators and controls invitations, membership, permissions and enabled capabilities. It must keep those settings appropriate and remove access when a person’s authorization ends. An external provider identity does not by itself admit someone to an AI Native organization. Report suspected account misuse promptly at support@1e6.ai.

4. Customer content and permitted processing

The Customer and its licensors retain their rights in information supplied to the service, including documents and organizational records (“Customer Content”). The Customer grants us only the rights needed to host, reproduce, process, transmit and display that content to deliver the agreed service, follow lawful Customer instructions, protect the service and meet applicable legal duties. These Terms do not transfer ownership of Customer Content to us.

The Customer must have the rights and lawful authority to submit Customer Content, connect its systems and instruct processing, including information about employees and other people. It is responsible for required notices, lawful bases, consents and its workplace policies. Personal-data processing is subject to the applicable data-processing agreement and our Privacy Policy. These Terms alone do not supply every jurisdiction-specific processing or transfer arrangement.

The Customer may not submit information requiring a confidentiality, regulated-processing or in-country-only arrangement that the selected deployment does not provide. Any such requirement must be agreed and supported before that information is supplied.

5. Assistants, outputs and approvals

AI outputs may be inaccurate, incomplete, non-unique or unsuitable for a particular purpose. The Customer and its Users must review important outputs and actions, check relevant sources and use appropriate professional judgment. AI Native does not replace qualified advice or a person authorized to make consequential decisions.

Enabled assistants can take actions under the Customer’s permissions, instructions and configured approval requirements. The Customer is responsible for assigning those permissions and understanding enabled background work. An approval of a particular action does not expand the underlying provider grant or authorize unrelated actions. The Customer must not rely on the service as the sole decision-maker for a legally significant decision about a person.

As between the Customer and us, the Customer may use generated outputs and owns any rights in them that we are legally able to assign. We assign those rights to the Customer. This does not warrant that an output is copyrightable, exclusive or free of third-party rights, and it does not affect the rights in source material or other customers’ independently generated outputs.

6. Third-party accounts and connections

Google, Microsoft and other connected services are independent services governed by their own terms. The Customer is responsible for its accounts, licenses, resources and any administrator consent or selected-resource grant. Our fees do not include a customer’s Microsoft 365, Google Workspace or other provider subscription unless an order form says otherwise.

Connections are separately authorized and optional. Sign-in does not authorize document or mailbox access. A connection operates within both native permissions and the provider’s grant and account permissions. The Customer must not bypass those boundaries or instruct access to resources it does not have authority to use.

Provider outages, throttling, revoked grants and changed APIs can affect availability. Disconnecting or revoking a connection stops future permitted use but does not reverse completed external actions or automatically erase prior copies, records or audit evidence. The Customer should maintain its own appropriate backups and review provider-side permissions.

7. Acceptable use

Users must not use the service unlawfully; violate others’ rights; submit malicious code; seek access to another organization’s data; evade permission, security, usage or billing controls; exploit credentials; disrupt the service; or use it to carry out fraud, harassment or harmful unauthorized activity. Security research requires prior written authorization for the scope being tested.

The Customer must ensure its automation, processing and communications comply with applicable law and the relevant connected-service rules. We may investigate credible violations and restrict affected activity under the suspension provisions below.

8. Commercial offers, fees and usage

Prices, billing currency and intervals, taxes, payment terms, usage allowances, included capabilities, offer duration, renewal and cancellation conditions are supplied in the applicable Commercial Terms. They are not fixed by these Terms. An offer or pricing change does not amend an existing customer's accepted Commercial Terms except through the change process agreed with that customer and applicable law.

The service can meter model usage and enforce credit or storage limits. An offer may include access without charge, introductory credits, discounts or other allowances. The applicable offer identifies the amount, eligible use and any expiry or replenishment conditions before acceptance. Service credits are usage allowances, not cash, and have no cash redemption value unless the Commercial Terms expressly say otherwise. Providing an allowance does not promise unlimited or indefinite service.

Receiving access without charge or promotional credits does not itself authorize a paid subscription, a payment or automatic conversion. Paid continuation, additional purchases or automatic renewal require the Customer's express acceptance of the applicable Commercial Terms. We will not charge for an undisclosed overage; when an agreed allowance is exhausted, further use may be restricted until additional service is agreed. Cancellation and any refund entitlement follow the accepted Commercial Terms and mandatory law.

9. Confidentiality and security

Each party must protect the other’s non-public information with reasonable care, use it only for the agreement’s purposes and disclose it only to people or service providers who need it and are bound by appropriate obligations. This does not cover information lawfully public, independently developed, already lawfully known or lawfully received without a restriction. Required legal disclosure is permitted, with notice where legally allowed.

We will maintain safeguards appropriate to the agreed service and inform the Customer of a confirmed personal-data incident as required by the applicable agreement and law. The Customer must maintain secure account practices and report suspected incidents. Neither party promises that every security incident can be prevented.

10. Suspension, termination and retained records

We may proportionately restrict affected access when necessary to address a credible security threat, unlawful activity, material misuse, a legal requirement or a provider restriction. We will notify the Customer and provide an opportunity to resolve the issue where practical and legally permitted. Suspension does not automatically delete Customer Content.

Either party may end the agreement under its accepted Commercial Terms, or for a material breach that remains unremedied for 30 days following written notice identifying the breach. A party may terminate sooner if the breach cannot be remedied or continued performance would be unlawful. Users leaving an organization do not automatically terminate the Customer’s agreement.

The customer agreement must identify any post-termination export period and the instructions for return or deletion of Customer Content. Contact us to arrange available export assistance; automated export or immediate organization erasure is not guaranteed. A fee for additional migration or export services requires prior agreement and does not limit an obligation imposed by applicable law or the processing agreement. Retention and deletion follow that agreement, the Privacy Policy and applicable law. We may retain limited information required for a lawful purpose, with access restricted to that purpose; protected recovery copies follow their applicable lifecycle.

11. Warranties and responsibility

Each party warrants that it has authority to enter the agreement. We will provide the agreed service with reasonable skill and care. Except for express contractual commitments and rights that applicable law does not permit us to exclude, the service and AI outputs are provided without warranties of uninterrupted availability, error-free performance, fitness for a particular purpose or a particular business result.

The Customer remains responsible for its data, authorized instructions, review of outputs and decisions, and compliance with its own obligations. We remain responsible for our express service and processing obligations. No provision excludes a mandatory legal right.

12. Liability

To the extent permitted by applicable law, neither party is liable for indirect or consequential losses or lost profits arising from the agreement. Except for the cases below or a different limit expressly agreed by both parties, each party’s aggregate liability is limited to the fees paid or payable under the agreement during the twelve months preceding the event giving rise to the claim. If no fees were paid or payable during that period, this fee-based cap does not apply; any fixed cap for access provided without charge must be expressly agreed by both parties in the Commercial Terms. Zero fees do not by themselves establish a zero liability cap.

The cap and exclusions do not apply to fraud, wilful misconduct or liability that cannot lawfully be excluded or limited. The liability cap does not excuse payment of amounts properly due under the agreement. Confidentiality, data-protection and intellectual-property claims are subject to the applicable cap unless the Commercial Terms or processing agreement expressly provide a separate cap or exception. These Terms do not create an additional indemnity obligation.

13. Disputes and governing law

A party raising a dispute should give the other written notice describing the issue and the remedy sought. The parties will try to resolve it through their designated contacts for 30 days after receipt. This does not prevent urgent protective relief or require a party to miss a mandatory legal deadline.

Unless both parties expressly agree otherwise in the Commercial Terms, this agreement is governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates as applicable in Dubai. The courts of Dubai, United Arab Emirates, have exclusive jurisdiction over disputes arising from the agreement, subject to mandatory law. These provisions do not exclude privacy rights or other protections that applicable law does not permit the parties to waive.

14. Changes and general terms

We will identify new versions and their effective dates and give reasonable notice of material changes. A material change to agreed commercial or processing obligations requires the acceptance or notice process specified by the agreement and applicable law; publishing a draft alone does not amend an existing agreement.

Neither party may transfer the agreement without the other’s written consent, except to an affiliate or as part of a merger, reorganization or sale of the relevant business, provided the successor assumes the obligations in writing and the other party is notified. A transfer does not reduce processing or confidentiality obligations. If a provision is unenforceable, the remaining provisions continue to the extent permitted by law. No waiver occurs solely because a party delays exercising a right. The agreement does not create a partnership, employment or agency relationship between the parties.

Legal, privacy and support notices to us should be sent to support@1e6.ai. Notices to the Customer should be sent to its designated contractual contact, which the Customer must keep current. A contractual email notice is treated as received on the next business day after sending, unless the sender receives a delivery failure; another valid address or delivery method must then be used. Mandatory legal rules for service of proceedings or statutory notices take priority. A business day for this clause is a Monday to Friday that is not a public holiday in the recipient’s location.
